Terms of Service

Last updated: 20 September 2026

These terms apply to your use of modestrise.com and to enquiries, quotations and orders placed with ModestRise (“we”, “us”). Our customers are brands, boutiques, wholesalers and other businesses. By using this website or placing an order, you agree to these terms.

1. Using this website

You may browse the site and contact us for lawful business purposes. You must not misuse it: no attempts to disrupt or gain unauthorised access to the site, no sending of malicious code, and no copying or reselling of site content without our written permission.

2. Product information

We take care to show our products accurately, but photos, colours, fabric descriptions and specifications on this site are for guidance. Screen colours vary, and fabric availability changes. Final specifications, colours and prices are those in your written quotation and your approved sample.

3. Quotations and orders

A quotation is a price and lead-time estimate for the specification you gave us and is valid for the period stated on it. An order is confirmed only when we’ve issued written confirmation (such as a proforma invoice) and received the agreed deposit. Prices are quoted on the trade terms shown in the quotation (for example FOB or DDP).

4. Samples

Sample fees are credited against your production order. The pattern and specification created for your design remain yours, even if you don’t proceed to production. We don’t scale up a sample until it has been approved in writing.

5. Payment

Our standard terms are a 30% deposit to start production and the 70% balance before shipment, by bank transfer. Any different terms, including LCs or escrow, are agreed in writing before the order is confirmed. Inspection photos are sent to you before the balance falls due.

6. Production, inspection and lead times

Lead times are estimates that run from written sample approval and receipt of the deposit, and are confirmed in your quotation. Delays caused by late approvals, changes to the order, or fabric or trim supply problems are communicated to you as soon as we know of them; we won’t substitute a fabric or trim without telling you first.

The AQL threshold and defect classification are agreed in writing before production starts. If a lot fails inspection, you may choose rework at our cost or a credit, and we won’t ship a failed lot or request the balance on it. Standard tolerance is ±1 cm on flat measurements unless we confirm tighter tolerances in writing.

7. Claims

Please inspect goods on receipt. If you find a defect or shortage, tell us promptly with photos and your order number so we can investigate against the inspection records we hold for your order.

8. Designs, confidentiality and intellectual property

You keep ownership of designs, artwork, labels and tech packs you give us, and you confirm you have the right to use them. For OEM orders we don’t produce your design for anyone else or list it in our catalogue. We’ll sign your NDA on request. The text, images and layout of this website belong to ModestRise and may not be reused without permission.

9. Limitation of liability

To the fullest extent permitted by law, our liability for any claim relating to an order is limited to the value of the goods concerned, and we are not liable for indirect or consequential losses such as lost profit or missed selling seasons. Nothing in these terms limits liability that cannot be limited by law.

10. Third-party links

This site may link to other websites and services, such as WhatsApp. We don’t control them and aren’t responsible for their content or privacy practices.

11. Changes to these terms

We may update these terms from time to time. The date at the top shows when they last changed. An order is governed by the terms in force when it was confirmed, together with any written terms agreed for that order.
